Terms of Service

1. Acceptance of Terms

By accessing or using Pieceandquietmarket.com (the "Site") or any services provided by Piece & Quiet, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site or Services.

These Terms constitute a legally binding agreement between you and the Company. Your use of the Site is also governed by our Privacy Policy and, for payments, by the terms of our third-party payment service (see Section 8). We may update these Terms at any time. Continued use after changes constitutes acceptance.

2. The Platform

The Site is an online marketplace that allows two types of sellers to list National Firearms Act (NFA) items, specifically silencers/suppressors, for sale:

  • Dealers — licensed firearms dealers (FFL/SOT as required); and
  • Private Sellers — individuals who lawfully own a registered NFA item and wish to transfer it.

Dealers and Private Sellers are referred to together as "Sellers." Buyers may purchase listed items, after which the item is transferred through one or more licensed Federal Firearms Licensees (FFLs) using the applicable ATF process (Form 3 and/or Form 4), with the required background check and ATF approval, to an FFL near the Buyer for pickup. No NFA item is transferred directly between private parties outside the licensed-FFL and ATF-approval process.

We are not a seller of firearms or NFA items, nor do we take possession, store, ship directly to buyers, or perform transfers. We do not process, receive, or hold the sale proceeds for any transaction (see Section 8). All sales occur between the Buyer and the Seller.

3. Eligibility and Compliance with Laws

  • You must be at least 21 years of age (or the legal age to purchase firearms/NFA items in your jurisdiction).
  • You must be a U.S. citizen or legal resident and legally eligible to purchase and possess firearms and NFA items under all federal, state, and local laws.
  • NFA Items: All transactions involve NFA-regulated items. Purchases require ATF approval (e.g., Form 4), tax stamp (if applicable), background checks, and compliance with all registration requirements.
  • The Site and Services are not available in states or localities where silencers are prohibited or where we cannot legally operate.
  • By using the Site, you represent and warrant that you will comply with all applicable firearms laws, including but not limited to the National Firearms Act, Gun Control Act, and state-specific restrictions. We reserve the right to restrict access based on location.

Dealers must be properly licensed (FFL/SOT as required) and remain in full compliance. Private Sellers must lawfully own the item they list and be legally permitted to transfer it. Buyers are responsible for ensuring they can legally complete the transfer at their chosen FFL.

State and local laws vary and control. Some states and localities prohibit, restrict, or impose additional requirements on silencer ownership. You are solely responsible for knowing and complying with the laws of your jurisdiction before purchasing; eligibility under federal law does not guarantee legality where you live.

4. User Accounts

You must create an account to buy or sell. You are responsible for maintaining confidentiality of your login credentials and all activity under your account. Notify us immediately of any unauthorized use.

We may suspend or terminate accounts at our discretion for violations of these Terms or applicable law.

5. Listings and Purchases

  • Sellers are solely responsible for the accuracy of listings, pricing, descriptions, and compliance of offered items.
  • Purchases are made directly with the Seller. All sales are conditional upon full compliance with federal, state, and local laws, including successful ATF approval and FFL transfer.
  • Payment is made at the time of purchase, before ATF approval of the transfer. ATF approval is not guaranteed (see Section 8 regarding payment timing and denials).
  • We facilitate the platform but are not a party to the sales contract between Buyer and Seller. We do not mediate, arbitrate, or resolve disputes between Buyers and Sellers; such disputes are solely between those parties (and, as to payment, the payment service described in Section 8).
  • Buyers are responsible for selecting a compliant local FFL, paying any FFL transfer fees, and completing all required paperwork and background checks. The FFL transfer fee is paid by the Buyer to the receiving FFL and is not collected through the Site.

6. Prohibited Conduct

You agree not to:

  • List or purchase items in violation of any law.
  • Provide false information during account creation, listing, or purchase.
  • Attempt to circumvent legal requirements (e.g., straw purchases).
  • Use the Site for any illegal purpose.
  • Harass other users or interfere with the Site's operation.
  • Reverse engineer any part of the Site.

7. Intellectual Property

All content on the Site (text, graphics, logos, etc.) is owned by or licensed to Piece & Quiet, LLC. Limited license is granted for personal, non-commercial use. User-generated content (listings) grants us a royalty-free license to display and promote on the Site.

8. Payments and Fees

Payment service. Payments for items are processed by one or more third-party payment services (currently GunTab for buyer-to-seller sale payments, and Authorize.net for platform billing), or a successor service. The payment service handling a sale acts as agent of the payee (the Dealer or Private Seller). By initiating a purchase, you authorize and agree to the terms, seller agreement, and refund policy of the applicable payment service. Sale funds flow directly from the Buyer, through the payment service, to the Seller.

No funds held by the Company. Piece & Quiet does not receive, hold, escrow, direct, or transfer the sale proceeds of any transaction, and is not a money transmitter, escrow agent, or fiduciary with respect to any transaction between a Buyer and a Seller. Piece & Quiet is not a party to the payment.

Company fees. The Company is compensated in two ways: (a) a subscription fee charged to Dealers for access to the platform; and (b) a per-sale platform fee on sales by Private Sellers, disclosed before purchase and collected by the payment service from the sale proceeds on the Company's behalf. These are platform-access and platform-facilitation fees; they do not make the Company a party to the sale or a seller of any item. Subscription and platform fees are non-refundable except as required by law.

Payment timing and ATF approval. Because of how NFA transfers work, you pay for an item at the time of purchase — before the ATF has approved the transfer. ATF approval is not guaranteed. If the ATF denies the Form 4 transfer, or the transfer otherwise cannot be completed (for example, a required background check cannot be completed), any refund is governed by the payment service's terms and the Seller's policy. Refunds may be partial: a refund may be net of shipping, transfer, payment-processing, restocking, and related expenses, and may require that the item be returned to the Seller. A Dealer may charge a restocking fee in accordance with its own posted policy. Piece & Quiet does not issue refunds and is not responsible for the availability, timing, or amount of any refund.

Refunds. Refunds, where available, are issued through the payment service at the Seller's direction or under the payment service's pre-authorized conditions (for example, where a required background check cannot be completed and the item is returned). A refund is not guaranteed to be the full purchase amount and may be reduced as described above. Any refund dispute is between the Buyer, the Seller, and the payment service.

9. Shipping and Transfers

No items are shipped directly to Buyers. All NFA items must transfer through a licensed FFL in compliance with ATF rules. Risk of loss passes according to the Seller's agreement with the Buyer. Buyers are responsible for all FFL fees and compliance costs.

10. Disclaimers and Limitation of Liability

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT TRANSACTIONS WILL BE COMPLETED, THAT ANY ATF APPROVAL WILL BE GRANTED, THAT ITEMS COMPLY WITH LAWS, OR THAT USERS ARE LEGALLY ELIGIBLE.

WE MAKE NO WARRANTY OR REPRESENTATION AS TO THE CONDITION, AUTHENTICITY, QUALITY, LEGAL STATUS, OR TITLE OF ANY ITEM LISTED OR SOLD. THE SELLER IS SOLELY RESPONSIBLE FOR THE ITEM AND ITS DESCRIPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE, ANY TRANSACTIONS, OR ANY FIREARMS/NFA ITEMS. OUR TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID TO US IN THE PRECEDING 12 MONTHS.

You agree to indemnify and hold us harmless from any claims, losses, or liabilities arising from your use of the Site, your transactions, or your violation of laws.

11. Termination

We may terminate or suspend access to the Site at any time, with or without cause. You may terminate your account by contacting us.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of laws principles. Any disputes between you and the Company shall be resolved exclusively in the state or federal courts located in Walton County, Georgia.

You agree to waive any right to class action participation.

13. Privacy

Your use of the Site is also governed by our Privacy Policy. We collect and process data in compliance with applicable laws, including applicable state consumer privacy laws (such as the CCPA/CPRA and comparable laws in other states where our users reside).

14. Miscellaneous

  • These Terms constitute the entire agreement between you and the Company regarding the Site, except that payments are separately governed by the payment service's terms referenced in Section 8.
  • If any provision is invalid, the remainder remains in effect.
  • No waiver of any breach constitutes a waiver of subsequent breaches.
  • We may assign these Terms; you may not.
